Mix butter, flour, and nuts. Pat in 9x13 inch pan. Bake 15 to 20 minutes at 375 degrees. Let cool.
Cream well together; 12 ounces cream cheese, 1 1/2 cups powdered sugar. Add 1 medium carton Cool Whip.
Spread on cooled crust.
Mix 1 package instant butterscotch pudding with 1 1/2 cups milk. Spread on top of creamed chees mixture. Frost with medium container of Cool Whip and top with nuts.
Chill and serve.
