Place popcorn in large bowl. Combine the rest of ingredients in 3 qt. saucepan and bring to 260 degrees using a candy thermometer. Pour over popcorn. Mix well. Spread on large cookie sheet. Bake at 300 for 30 min. Stir 3 times while cooking.
