In a saucepan prepare pudding with milk according to pkg directions for pudding. Pour into a mixing bowl; add dry cake mix and beat until well blended. Spread into greased 9x13 pan. Bake at 350 for 30-35 mins. or until cake springs bakc when lightly touched and eges pull away from sides of pan. Cool.
For sauce, ina heavy saucepan melt butter and chocolate chips over low heat. Stir in evaporated milk and sugar until smooth. Bring to boil over med heat. Cook and stir 8 mins or until thick. Remove from heat and stir in vanilla. Serve warm over cake with vanilla icecream
