PREHEAT oven to 375 deg. Combine crumbs and butter, press firmly on bottom of 13 x 9 pan. Bake 8 minutes. Reduce oven temperature to 350 deg. IN SMALL saucepan over medium heat, melt Condensed Milk with 1 C. chocolate chips and vanilla. SPREAD chocolate mixture over prepared crist. TOP with remaining 1 C. chocolate chips, then nuts, press down firmly. BAKE 25 to 30 mins. Cool. Chill if desired. CUT into bars. STORE loosely covered - room temperature BAKE 33 - 38 mins.
