Put sugar, butter and milk on stove and cook for 8 min. to 236 degrees. Stirring occasionally. In large bowl put all the other ingredients. Pour hot mixture on top of chocolate. Mix until smooth. Pour into waxed paper lined 13 x 9 pan. Cool and cut into small pieces. May also be able to pour into an 8 x 8 pan also.
