Melt caramel in 1/3 cup evaporated milk and 1/3 cup sugar over low heat. Set aside.
In a large bowl, stir together butter and 1/3 cup and 1/3 cup evaporated milk and cake mix. In a 13x9x2 inch flowered pan. Pack 1/2 of the mixture. Bake at 350 for 6 mins.
Remove from oven. Scatter chocolate chips. Pour caramel mixture over. Press lightly. Crumble reserved cake mixture over top. Return to oven for 15-18 mins.
