Combine all ingredients in a large fry pan. Cook over med heat; stir constantly until sugar melts to a golden brown and coats almonds (about 5 minutes)
Pour onto a square/greassed piece of foil and let cook. Break into pieces once cooled.
Combine all dressing ingredients in container with tight fitting lid. Shake well to blend. Add dressing to spinich just before serving. Toss gently to coat spinich. Add alomonds and toss lightly.
Serve immediately.
