Position rack in center of oven, preheat to 350?. Butter 2 9 in pans. Dust w/flour. Bring 3/4 c. water to boil. Remove from heat. Whisk in cocoa to form paste. Cool slightly. Add buttermilk, whisk until blended. Can use powdered buttermilk, follow directions.
Whisk flour and next 3 ingred to blend. Beat sugar and next 4 ingred until light, about 5 min. Beat in cocoa mixture. Add dry ingred and beat just until blended. Divided batter between prepared pans.
Bake cakes until tester inserted into center comes out clean, about 20 min. Col cakes in pans on rack 10 min. turn cakes out onto racks; cool.
Frosting: Stir chocolate and butter over low het until melted and smooth. Cool to lukewarm.
Beat cream cheese until fluffy. Gradually add cocolate mixture, then vanilla extract, beating until smooth. Gradually add sugar, beating until well blended.
