Combine ingredients in first layer and spread in 9X13 pan. Bake at 350 degrees until golden in color
Allow to cool
Cream the cream cheese and powdered sugar until fluffy and spread over cooled crust.
Mix all ingredients in third layer and spread over cream cheese layer.
Top with cool whip and chocolate shavings
Freeze until ready to serve - allow to stand at room temp for short while just before serving.
